
Distance Sales Contract

1. Parties
This Distance Sales Contract ("Contract") is concluded electronically between: SELLER: Name: AxelVira Teknoloji A.Ş. Mersis No: 0099141030300001 Address: Adalet Mah. Manas Blv. No:47/B Folkart Plaza D:3509 Bayraklı/İZMİR, Turkey Email: info@lexvira.com BUYER: The user purchasing the service and registered on the LexVira platform.
2. Subject
The subject of this Contract is the sale and delivery of digital subscription services that the BUYER purchases electronically through the SELLER's LexVira platform (www.lexvira.com). During checkout, the BUYER has read, understood, and electronically consented to the Preliminary Information Form that includes plan features, price, payment method, trial period (if applicable), and the right of withdrawal exception.
3. Service Specifications and Price
Service: LexVira Professional / Premium / Enterprise plan subscriptions Billing period: Monthly or Yearly (per BUYER's choice) Pricing: USD-based; for the Turkish market displayed in TRY at the daily FX rate VAT: 20% (digital service) — prices may be VAT-inclusive or itemized Payment: 3DS card processing via iyzico, Paratika, or Stripe
4. Payment
Payment is collected via the BUYER's chosen instrument (credit/debit card). Domestic transactions use iyzico/Paratika; international transactions use Stripe. The SELLER never stores or sees card details at any stage (PCI-DSS compliant). For plans with a 7-day trial, no charge is made during the trial; automatic billing starts at trial end (unless canceled).
5. Delivery Method and Time
The service is provisioned instantly to the BUYER's LexVira account upon payment confirmation/subscription activation. The service is provided continuously throughout the plan period digitally (excluding required maintenance/technical outages).
6. Right of Withdrawal and Exception
Per Article 15(1)(h) of Turkish Distance Sales Regulation (under Law No. 6502): "Contracts for services performed instantaneously in electronic form or for intangible goods delivered to the consumer instantaneously" are excluded from the right of withdrawal. LexVira services are digital services delivered instantaneously upon activation. Therefore the right of withdrawal cannot be exercised after activation. The BUYER has confirmed acceptance of this exception by electronically consenting to the "Exception Notice" in the Preliminary Information Form. 7. BUYER's Obligations
- Read and electronically consent to this Contract and its appendices - Maintain the confidentiality of account credentials - Use the service lawfully and in accordance with the Terms of Service - Ensure payment information is accurate and current
8. SELLER's Obligations
- Deliver the service continuously throughout the plan period (excluding required maintenance/outages) - Transmit payment information securely (via iyzico/Paratika/Stripe) - Comply with KVKK and applicable privacy law - Provide support in case of disputes
9. Force Majeure
Failure to perform obligations due to events outside the parties' control and unpreventable through reasonable measures (natural disaster, war, epidemic, internet infrastructure outage, government decisions) does not constitute default.
10. Dispute Resolution
Disputes arising from this Contract shall be resolved by Consumer Arbitration Boards (within monetary limits) and Consumer Courts at the BUYER's place of residence. For non-consumer BUYERs, the Courts and Enforcement Offices of İzmir, Turkey have jurisdiction. The laws of the Republic of Turkey apply.
11. Effectiveness
This Contract becomes effective upon the BUYER's electronic consent and remains in force throughout the subscription period. A copy is delivered to the BUYER via email and is always accessible via the account.
